While we do not operate or control the decisions of our Mining Partners, we have a unique opportunity to influence and encourage responsible practices. ESG considerations are integral to our due diligence for new streaming opportunities, and once a stream is established, we work closely with our partners to enhance outcomes for local communities and the environment. Climate Change & Energy

DigiMetal Exchange recognizes the urgency of addressing climate change and is committed to collaborating with stakeholders, including our Mining Partners, to help tackle this global challenge. Our Climate Change and Environmental Policy (opens in new tab) outlines our dedication to reducing emissions and enhancing resilience to climate-related risks.
To support this commitment, we have established a Scope 2 emissions reduction target of 50% by 2030, based on a 2018 baseline, which has been validated by the Science-Based Targets Initiative (SBTi). As an office-based company, DigiMetal Exchange does not produce direct Scope 1 emissions; our Scope 2 emissions primarily arise from our Cayman Islands office, which relies on fossil-fuel-powered electricity and cooling. While we do not own or operate the mines we finance, we recognize our responsibility to monitor emissions at Mining Operations and actively support our Mining Partners in reducing their environmental footprint over time.

Health, Safety & Wellbeing

The health and safety of our employees is a top priority at DigiMetal Exchange. We are committed to ensuring that everyone goes home healthy and safe every day, making safety a core value in how we operate. As an office-based company, employees at all locations receive training on emergency preparedness for workplace incidents or natural disasters. In the event of a significant disruption, our Business Continuity Plan is enacted to minimize operational impacts, with specialized training provided to key personnel.
DigiMetal Exchange also provides comprehensive health and safety training, addressing both physical and mental wellbeing. We actively promote a healthy and active lifestyle through our Employee Health & Wellness program and offer extensive benefits, including mental health support and the option for employees to take up to two mental wellness days each year.

Risk Management

Risk Management

DigiMetal Exchange maintains a robust risk management process to identify, assess, report, and implement mitigation strategies for the risks associated with our business operations. This process is guided by an Enterprise Risk Management (ERM) framework, under which risks are updated at least quarterly and reviewed by the Disclosure Committee. In addition, the Board of Directors, particularly the Audit Committee, receives quarterly reports to monitor and evaluate the company’s progress in managing enterprise risks effectively.

DigiMetal Exchange is dedicated to upholding the highest ethical standards in all aspects of our business. Our Code of Business Conduct and Ethics (opens in new tab) sets out these standards, promotes a culture of honesty and integrity, and provides guidance on avoiding conflicts of interest. The Code addresses anti-bribery and anti-corruption, prohibits employees, officers, and directors from engaging in political activities on behalf of the company, and ensures compliance with securities regulations and other applicable laws. The Board conducts regular audits to monitor adherence to the Code.
We encourage employees to report any suspected breaches of the Code or other ethical or legal obligations. Our Whistleblower Policy (opens in new tab) outlines the process for employees to confidentially and anonymously report violations or concerns regarding financial reporting or other matters. The incident reporting hotline, managed by Navex Global, an independent third party, protects individuals who report issues and provides a structured process for investigation and resolution.

DigiMetal Exchange is dedicated to supporting healthy, vibrant communities through meaningful investments in the regions where we and our Mining Partners operate. Through our Community Investment Program, we allocate a portion of net income to
charitable organizations and initiatives that strengthen communities both locally and internationally.
The program includes two key components: the Partner Community Investment Program, which focuses on international initiatives, and the Local Community Investment Program, which supports organizations near our office locations. Oversight of the program is provided by a dedicated Community Investment Committee composed of senior management team members.

DigiMetals Exchange respects and supports the principles of the Universal Declaration of Human Rights and is committed to ensuring we are not complicit in human rights abuses. Our focus extends both to our direct operations and to the mining operations of our Mining Partners.
Direct Operations: In 2022, we conducted a human rights risk assessment for our direct operations. As an office-based organization with locations in Canada and the Cayman Islands, our focus is on protecting employee rights, including labor and employment standards, freedom of association, non-discrimination, and health and safety. Our Code of Business Conduct and Ethics (opens in new tab) reinforces this commitment, guided by international frameworks such as the Universal Declaration of Human Rights, the International Labour Organization’s Declaration on Fundamental Principles and Rights at Work, and the UN Guiding Principles on Business and Human Rights.
Mining Operations: Human rights risks can differ across mines and development projects, influenced by the mine’s location, nearby communities and land users, and the prevalence of specific risks within the jurisdiction. DigiMetals Exchange actively considers these factors when assessing and engaging with Mining Partners to promote responsible practices.

DigiMetals Exchange continuously strengthens its information systems and cybersecurity program to ensure resilience against security risks and cyber threats across the organization. We engage external consultants to design, implement, and manage IT systems and programs, overseen by internal management and the Audit Committee. These services include system monitoring, endpoint protection, threat detection, incident response, and ongoing IT support and maintenance.
On an annual basis, DigiMetals Exchange conducts data penetration tests, vulnerability assessments, and off-site disaster recovery exercises to evaluate the security and recoverability of our IT infrastructure. Independent professional service firms perform external audits and assurance activities to validate the effectiveness of our cybersecurity controls. Additionally, DigiMetals Exchange has established a formal cybersecurity incident response plan to ensure a rapid and coordinated response to potential threats.
